Terms of Service

1. Parties

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Afterbuck Labs Inc., a corporation incorporated in Ontario, Canada (“we”, “us”, “our”), operating the service under the brand name OneLast.Day. Our registered address is Office 703, 145½ Church Street, Unit 5, Toronto, Ontario M5B 1Y4, Canada.

By accessing or using OneLast.Day, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the service.

2. Eligibility

You must be at least 18 years of age to use OneLast.Day. By using the service, you represent and warrant that you meet this age requirement. If you are using the service on behalf of an employer or organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Service Description

OneLast.Day provides an AI-powered tool that, with your explicit authorisation, reads metadata from your Google Workspace account (Gmail, Google Drive, and Google Calendar) and generates a personalised employee handover document. The service is intended for individual use by employees transitioning out of a role.

We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice where practicable.

4. Payment

Access to your full handover document requires a one-time payment of $20 USD. This is a single payment — there is no subscription, recurring charge, or hidden fee.

All prices are displayed in US dollars. Payment is processed securely by Stripe, Inc. We do not store your payment card details. By completing a payment, you agree to Stripe’s terms.

Applicable taxes may be added at checkout depending on your jurisdiction.

5. Refund Policy

Because your handover document is generated immediately upon payment, all sales are final once document generation has successfully commenced.

Exception: If document generation fails entirely due to a technical error on our part and you are unable to retrieve your document after a reasonable retry attempt, you are entitled to a full refund. To request a refund, contact us at support@afterbuck.com with your payment confirmation within 7 days of your purchase. We will review and respond within 5 business days.

6. Acceptable Use

You agree to use OneLast.Day only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the service in any way that violates applicable federal, provincial, or local law or regulation.
• Attempt to gain unauthorised access to any part of the service, our servers, or any systems or networks connected to the service.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the service.
• Scrape, crawl, or use automated means to access or interact with the service.
• Use the service to generate documents containing false, defamatory, discriminatory, or unlawful content.
• Share your account credentials or authenticated session with any other person.
• Resell, sublicense, or commercially exploit the service or its output without our prior written consent.

7. Google Workspace Data and Consent

By connecting your Google account, you explicitly consent to OneLast.Day accessing the following data for the sole purpose of generating your handover document:

• Gmail metadata: subject lines and sender/recipient email addresses from the past 180 days (not email bodies)
• Google Drive: file names, modification dates, and collaborator email addresses for documents modified in the past 12 months (not file contents). If you export to Google Docs, we create a new file in your Drive using the drive.file permission.
• Google Calendar: event titles and attendee email addresses from the past 180 days (not event descriptions or meeting notes)

You represent that you have the right to authorise this access and that doing so does not violate any obligations you have to your employer or any third party. You are responsible for ensuring that your use of the service complies with your employer’s policies regarding data access and use.

You may revoke this access at any time via Google Account Permissions.

8. Intellectual Property

Your generated document: The handover document generated for you belongs to you. You may use, edit, share, print, or distribute it freely. We claim no ownership or licence over the content of your generated document.

Our service: All rights in the OneLast.Day platform, software, design, branding, and underlying technology are owned by Afterbuck Labs Inc. or our licensors. Nothing in these Terms grants you any licence to our intellectual property beyond the right to use the service as described herein.

9. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and verifying your generated document before sharing it with any person or organisation. We do not guarantee uninterrupted or error-free service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Afterbuck Labs Inc. and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the service, even if advised of the possibility of such damages.

In all cases, our total aggregate liability to you for any claim arising out of or related to these Terms or the service shall not exceed the amount you paid to us in the 12 months preceding the claim (and in no event more than $20 USD).

11. Account Suspension and Termination

We reserve the right to suspend or terminate your access to the service immediately and without prior notice if we reasonably believe you have:

• Violated any provision of these Terms;
• Engaged in fraudulent, abusive, or unlawful conduct; or
• Initiated a chargeback or payment dispute without first contacting us.

If your account is terminated for cause, you will not be entitled to a refund. Upon termination, your right to use the service ceases immediately. Sections 8, 9, 10, 12, and 13 survive termination of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You irrevocably consent to the personal jurisdiction of such courts.

For disputes involving amounts within the monetary jurisdiction of the Ontario Small Claims Court, either party may elect to resolve the matter in Small Claims Court as an alternative to Superior Court.

13. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Afterbuck Labs Inc. with respect to the service and supersede all prior agreements, representations, and understandings of any kind relating to the same subject matter.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For material changes, we will make reasonable efforts to notify users before the changes take effect. Your continued use of the service after updated Terms are posted constitutes your acceptance of the revised Terms.
